Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FieldFrame mobile application and related services (collectively, the "Service") operated by FieldFrame ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

FieldFrame is a construction project management application that provides tools for estimating, scheduling, plan management, time tracking, budgeting, team collaboration, and client communication. Certain features are powered by artificial intelligence.

The Service is designed for use by construction professionals including general contractors, builders, project managers, subcontractors, and their teams.

To use FieldFrame, you must create an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access to your account
• Ensuring that team members you invite comply with these Terms

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4.1 Free and Paid Plans

FieldFrame offers a free tier with limited features and paid subscription plans with additional capabilities. Current plans and pricing are displayed in the app under Settings.

4.2 Billing

• Paid subscriptions are billed monthly or annually through Apple's App Store or Google Play, processed via RevenueCat/Stripe
• Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date
• Price changes will be communicated at least 30 days in advance

4.3 Cancellation and Refunds

• You may cancel your subscription at any time through your device's app store settings
• Cancellation takes effect at the end of the current billing period — you retain access until then
• Refunds are handled according to Apple App Store or Google Play Store policies
• Upon cancellation, your data remains accessible in read-only mode on the Free tier

5.1 Ownership

You own your data. All project information, documents, photos, estimates, schedules, and other content you create or upload ("Your Content") remains your property. We do not claim any ownership rights over Your Content.

5.2 License to Us

By uploading content to FieldFrame, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. This includes processing plan documents through our AI features when you choose to use them.

5.3 Data Portability

You may export your data at any time using the export features within the app. If you close your account, we will make your data available for export for 30 days after account closure.

5.4 Data Retention and Deletion

If you delete your account, we will delete your personal data within 30 days. Anonymized, aggregated data that cannot identify you may be retained for analytics purposes. Backup copies may persist for up to 90 days in our backup systems before being purged.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Share your account credentials or allow unauthorized users to access your account
• Attempt to reverse engineer, decompile, or extract source code from the application
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or use automated means to access the Service without our written consent
• Resell, sublicense, or redistribute the Service to third parties
• Circumvent subscription tier limitations or access paid features without a valid subscription
• Use the Service to store content unrelated to construction project management

7.1 Nature of AI Output

FieldFrame uses artificial intelligence to assist with estimates, schedules, plan analysis, and other features. AI-generated output is provided as a professional aid and starting point — not as a substitute for professional judgment.

7.2 AI Data Processing

When you use AI features, relevant project data (such as plan documents and project specifications) is sent to our AI processing provider (Anthropic) for analysis. This data is processed in accordance with our Privacy Policy and is not retained by the AI provider after processing.

7.3 No Professional Advice

AI features do not constitute professional engineering, architectural, legal, or financial advice. Always consult qualified professionals for matters requiring licensed expertise.

8.1 Our Property

The Service, including its design, code, features, documentation, logos, and trademarks, is owned by FieldFrame and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without restriction or compensation. You are not required to provide feedback.

FieldFrame integrates with third-party services including cloud storage providers, payment processors, AI providers, and accounting platforms. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.

10.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10.2 Offline Functionality

FieldFrame is designed to work offline. Data created while offline is stored on your device and syncs to our servers when connectivity is restored. We are not responsible for data loss that occurs due to device failure before data has synced.

10.3 Modifications

We may modify, update, or discontinue features of the Service at any time. For significant changes that affect paid features, we will provide at least 30 days notice.

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that AI-generated estimates, schedules, or analyses will be accurate or complete
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for construction decisions, project outcomes, financial losses, or contractual disputes arising from your use of the Service or reliance on AI-generated output

You agree to indemnify and hold harmless FieldFrame and its officers, employees, and agents from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws.

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@fieldframepro.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, or engage in conduct that we reasonably believe is harmful to other users or the Service. Upon termination:

• Your right to use the Service ceases immediately
• You may request export of your data within 30 days
• Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will continue to apply

We may update these Terms from time to time. We will notify you of material changes through the app or via email at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you may cancel your account.

• Entire Agreement: These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and FieldFrame regarding the Service
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
